COPYRIGHT (Websites & Accompanying Adverts)
The following terms and conditions document is a legal agreement between Wales Tourists Online and the Client for the purposes of web site design & development. These Terms and Conditions set forth the provisions under which the Client may use the services offered.
ACCEPTANCE OF WORK
Quotations are valid for 1 month from date of issue.
Wales Tourists Online will carry out work only where an invoice has been paid by the Client for the work, unless otherwise agreed by Wales Tourists Online.
When the Client places an order to purchase a web site or web site updates from Wales Tourists Online, the order represents an offer to Wales Tourists Online to purchase the web site or web site updates which is accepted by Wales Tourists Online only when an invoice is sent to the Client.
No contract for the supply of services exists between Client and Wales Tourists Online until Wales Tourists Online sends an invoice to the Client for payment. The invoice equals acceptance by Wales Tourists Online (or third party supplier) of Clients offer to purchase services from Wales Tourists Online and this acceptance of work is a valid contract between Client and Wales Tourists Online regardless of whether Client receives the invoice.
Wales Tourists Online can withdraw from the contract at any time prior to acceptance.
Additional work requested by the Client which is not specified in the agreed quotation is subject to an additional quotation by Wales Tourists Online on receipt of specification. If the work is needed as part of an existing project then this may the effect timescale and overall delivery time of the project.
The client agrees to provide all information and content required by Wales Tourists Online in good time to enable Wales Tourists Online to complete a design or website as part of an agreed project.
A web site or advertisement can be removed on the written request of the client. Wales Tourists Online reserves the right to suspend or terminate all or part of the service provided to a client with immediate effect, where [1] the expiry date has passed, or [2] there has been a breach by the client of these terms and conditions or failure to pay outstanding charges.
DOMAIN NAMES
When Wales Tourists Online is acting as agent for the client, the client will be invoiced for the domain renewal. Should the client fail to pay by the due date, the site and files may be suspended or deleted and Wales Tourists Online can not be held responsible for the loss.
Domain name transfer: the current cost £35.00
WEB SITE HOSTING.
It is the client’s responsibility to ensure website hosting fees are paid by the due date. Should the client fail to pay or renew the website hosting fees, the site and files will be deleted and Wales Tourists Online can not be held responsible for the loss.
All Web site hosting is for a minimum of twelve months and then on a rolling monthly basis.
To terminate a hosting agreement a full three months written notice of cancellation is required from the client & a transfer fee of £30.00.
PERMISSION AND COPYRIGHT
All pages, images, text and code on Wales Tourists Online web site at http://www.walestouristsonline.co.uk is copyrighted material.
Client's and any visitors to http://www.walestouristsonline.co.uk may not use any of the pages, images, text or code on the web site for use on client's or visitors own web site or to create a web site, templates without prior written permission from Wales Tourists Online.
Copyright of the completed web designs, images, pages, code and source files created by Wales Tourists Online for the project shall be with the Client upon final payment only by prior written agreement. Without agreement, ownership of designs and all code belongs to Wales Tourists Online.
It is the responsibility of the client to ensure they have the right to use any photograph, digital images or advertising copy which is used in the building of the website. The client agrees to indemnify Wales Tourists Online against all claims costs arising out of any copyright infringement for such images or text.
These terms of use grant a non-exclusive limited license so that the Client can use the design on one web site on one domain name only. The Client is not permitted to use a design for more than one website without prior written agreement between the Client and Wales Tourists Online.
The client agrees that Wales Tourists Online reserves the right to include any work done for the Client in a portfolio of work.
MATERIAL
Wales Tourists Online reserves the right to refuse to handle:
a) Any media which is unlawful or inappropriate.
b) Any media which contains a virus or hostile program.
c) Any media which constitutes harassment, racism, violence, obscenity, harmful intent or spamming
d) Any media which constitutes a criminal offence, infringes privacy or copyright
Website owners who use e-mail as the primary channel for incoming enquiries do so completely at their own risk. Wales Tourists Online will take no responsibility for missed enquiries and possible resulting loss in such cases.
LIABILITY
Website owners undertake to check at publication, that the content of their advertisement is correct and complete. Liability for any errors or omissions in the website is the owner’s responsibility and Wales Tourists Online cannot be held in any way accountable for any consequences caused by such errors or omissions.
The website owner is solely responsible for dealing with persons who access their data and warrant that they will not refer complaints or enquiries about these to Wales Tourists Online.
In cases where Wales Tourists Online receives a complaint about a website’s content, the owner agrees to receive and give due attention to the matter, and to discuss and resolve it directly with the complainant. Wales Tourists Online will not become involved in resolution of such matters in any way other than by sending an acknowledgement to the sender and forwarding the complaint to the advertiser.
TERMINATION
Wales Tourists Online reserves the right to decline to publish any newly placed data. If any payment has been made, this will be refunded or returned. No compensation will be payable by the Wales Tourists Online for any loss howsoever incurred if publication of a website is declined.
Wales Tourists Online reserves the right to withdraw any published advertisement. In such cases, any payment which has been made will be refunded pro-rata based upon the number of days remaining until the previously scheduled expiry date. No other compensation will be payable by the publisher for any loss howsoever incurred if advertisement is withdrawn from publication.
SERVICE LEVEL
Wales Tourists Online will make every effort to provide clients with a prompt service.
Publication of newly placed websites: Subject to suitable text and image content being provided by clients, & advertisements will usually be published within the agreed time.
Wales Tourists Online endeavours to maintain continuous availability of the website, but will not be liable if they are not accessible at any time or for any period. Notice will not necessarily be given if the website goes offline or services are temporarily withdrawn.
ADVERTISING
The publisher operates advertising services through the distribution of information on the internet. The advertising service provided consists of:
Publication of information which has been provided by the client On Wales Tourists Online site
It is assumed that the advertiser understands the general principles of the internet including use of a web browser and e-mail programme.
WALES TOURISTS ONLINE UNDERTAKING TO ADVERTISERS
The publisher will endeavour to maintain and increase the number of visitors to the website and create measurable response to advertisers in the form of enquiries delivered via their email in advertisements, by telephone if a telephone number is published in an advertisement, and, where a web link is published in an advertisement, by referrals to that website.
The publisher will develop ongoing the website and associated systems to meet the changing requirements of web users, advertisers and technology. The emphasis of this development will be on delivery of detailed information to a sustained and relevant audience.
NOTES ABOUT THESE TERMS AND CONDITIONS
These terms and conditions take precedence over any other terms and conditions. Wales Tourists Online reserves the right to amend these terms and conditions at any time without notice. Continued use of the service signifies agreement with any changes made to these terms and conditions.
